This agreement is between you (hereinafter referred to as "you" or "your") and AlphaX. By accessing and using any services offered by the AlphaX platform, its websites, mobile applications, or other related services provided by AlphaX or any of its affiliated entities as further described in Section 4 hereof (collectively referred to as "the Service"), you acknowledge that you have read, understood, and agree to all the terms and conditions stipulated in this Terms of Use Agreement (hereinafter referred to as the "Terms of Use"), as well as the Privacy Policy published on our platform. Additionally, when using certain features of the Service, you may be subject to additional terms and conditions applicable to those features.
This service agreement outlines the terms under which users can introduce third-party users to the platform. It explains the platform's obligations to you regarding your referral of users and your obligations to us under the referral program provided by the platform.
1. Commitment and Electronic Signature
a. You hereby acknowledge and agree to: Continue to refer to or use the platform's main website by using and/or sharing the unique user referral code and referral sign-up link or address specified on the platform's main website. Analyze and provide details about the platform and/or financial products by referring potential new users to the platform's main website. Fully agree to abide by and be bound by the terms and conditions set by all platforms to supplement the applicable service terms in this service agreement.
b. To the extent permitted by applicable mandatory laws, you hereby waive any right to require an original (non-electronic) signature or the delivery or retention of non-electronic records in any jurisdiction, as may be required by any law or regulation of any jurisdiction.
2. User Referral Terms and Written Assurance
a. You and your referees must possess all necessary rights to sign and be fully bound by this service agreement. You confirm that they have taken all necessary actions in this regard. The user acknowledges their ability to sign this service agreement and has obtained the approval and/or authorization and/or qualification required by local regulations to provide the services mentioned in this agreement.
b. As the referrer, you must always provide true and complete information to the platform. This includes, but is not limited to, contact information, the nature of user intermediary activities undertaken to introduce, explain, and/or promote the financial services provided by the platform to potential users, as well as any other information that the platform may require.
c. Neither you nor your referees are authorized to provide any investment advice on behalf of AlphaX or to impersonate representatives of AlphaX to the referred users.
d. It's the users' obligation to notify the referee of any commission received and any other commissions related to the services provided under this service agreement when necessary.
e. You are not permitted to use the platform's logo in any communication, including but not limited to any business cards or electronic transmission methods, unless legally authorized by the platform.
f. You and your referees commit to not sign up any platforms containing the word "AlphaX" in their names or operate any domain names that include the word "AlphaX."
g. You and your referees declare and warrant not to place any promotional materials related to the platform on any website, nor to use any media or medium containing materials, including but not limited to websites that: (1) Promote (including links to) pornographic materials, violence or illegal activities; (2) Advocate discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; (3) Manipulate keywords in searches conducted on portal websites and/or search engines conflicting with the platform’s website; (4) Misrepresent themselves as the platform's main website through the visual "look" or text of the platform's main website, or otherwise infringe on the platform's intellectual property, including but not limited to "scraping" text or images from the platform's main website, banner advertisements managed by the platform, and/or text links, search marketing, or all other online and offline campaigns; (5) Include "AlphaX" or its variants or misspellings in the user's domain name; (6) Do not explicitly provide an online privacy policy to their website visitors; (7) Are deemed offensive or inappropriate at the discretion of the platform.
h. Users are not permitted to authorize or encourage any third parties to: (1) Directly or indirectly employ any deceptive, automatic, fraudulent, or other invalid means (including but not limited to or by repeating) to manually click, use robots or other automated tools and/or computer-generated queries, and/or unauthorized use of other search engine optimization services and/or software; (2) Edit, modify, filter, cut off, or change the order of information contained in any part of the platform's main website, or delete, conceal, or minimize any part of the platform's main website in any way without authorization from the platform; (3) After clicking on any part of the platform's main website, hide, minimize, or otherwise prevent full display of any webpage that users access; (4) Redirect any user outside the platform's main website; (5) Provide any version of web pages that differ from those accessed by end-users directly on the main website of the platform; inserting any content between the main website of the platform and the target pages applicable on the main website of the platform; or otherwise providing any web pages or websites that directly link from the user's website to the relevant landing pages on the main website of the platform, as approved by this service agreement; (6) Directly or indirectly access, initiate, and/or activate access to the online services provided by the platform through or from any software application, website, or recommendation, or otherwise combine access to the online services provided by the platform or referrals. Except through means other than its website, and only to the extent explicitly permitted in this service agreement; (7) "Scrape", "crawl", index, or in any non-temporary way store or cache any information obtained from or already solicited, identified as, and/or recommended to the platform's main website from or to any users; (8) Act in any way that violates various policies posted on the platform's main website, which may be revised from time to time or included in any other agreements between associated platforms and the platform (including, but not limited to, this service agreement); (9) Spread malware; (10) Create a new account to sign up for the platform's user program after the platform has terminated the service agreement between the user and the platform due to the user's violation of this service agreement; (11) Engage in any actions or practices that is detrimental to the platform or that disparages or diminishes the platform's reputation and/or goodwill.
i. Unless otherwise clearly stipulated in this service agreement, and then only within the specified scope, users are prohibited from sending emails, SMS, MMS, or spamming groups to promote the platform, the platform's main website, the platform's user program, and/or the online services provided by the platform.
j. Furthermore, you clearly acknowledge and agree that the platform will not engage, support, or condone the sending of large volumes of unsolicited emails (e.g., spam, desktop clipboard) to promote the platform, the platform's main website, the platform's user program, and/or the online services provided by the platform. You and your referees also explicitly acknowledge and agree to adhere to this policy.
k. You and your referees acknowledge and agree that any attempt to engage in or violate any of the above actions constitutes a significant breach of this service agreement, and the platform may, at its sole discretion, seek any and all applicable legal and equitable remedies against you and your referees, including immediately suspending associated user accounts on the platform and/or terminating this service agreement immediately without prior notice, and/or pursuing all available civil or criminal remedies.
l. The affiliated platform further declares and warrants that its website and any materials displayed on it: (1) comply with all applicable laws and regulations, decrees, ordinances, and other applicable rules; (2) do not violate or infringe upon any obligations or rights of any individual or entity, including but not limited to intellectual property, public rights, privacy rights, rights or obligations under consumer protection, product liability, tort, or contract; (3) the content does not involve pornography, hate, or other violent acts.
m. You and your referees acknowledge and confirm that he/she has an existing user base or influence over an audience/KOL. According to the AlphaX user commission table, each commission level requires active trading users. Signing up as a user to generate commissions for self-trading accounts and/or using multiple accounts as active users will violate AlphaX's user terms and be subject to a user account ban. AlphaX reserves the right to adjust and/or delete generated commissions at its discretion.
n. The use of search engine marketing techniques (such as bidding on the AlphaX brand name in any search engine) is strictly prohibited. AlphaX reserves the right to terminate user accounts without further notice.
o. Strictly adhere to and guarantee: (1) Clearly inform users of trading risks and refrain from using methods such as promising income or managing accounts to invite users to sign up; (2) Prohibit false advertising, such as fabricated profit charts or fictitious profitable users, to attract users through illicit means; (3) Do not engage in harassment promotion such as group spamming, telemarketing, traffic ads, bulk private messages, etc., to maintain the platform's image; (4) The platform only accepts transfers of digital assets (such as USDT, BTC, or ETH) and does not accept any legal tender from users or exchange legal tender with users for digital assets; (5) Prohibit providing users with trading advice, including any form of promotion, guidance, instruction, and advice; (6) Do not engage in illicit arbitrage using referral commissions, including but not limited to self-referral, multi-account arbitrage, and trading volume manipulation; (7) Do not attract users to sign up through defamation, exaggeration of competitors' scandals, or any other means that create a fair and favorable market environment.
p. If a user has deposited without linking any referral code (including Buy Crypto) after signing up, the referral code linking feature will be disabled. Note: When referring users to sign up, please use links or posters that contain the referral code.
3. User's Rights and Obligations
a. The platform is not responsible and does not assume any liability, under the circumstances that do not affect the obligations assumed by you and your referees under this service agreement, for any advice, suggestions, or decisions provided by you and your referees to the referred users,
b. For users to be eligible for any commission related to their referees, all requirements specified in this service agreement must be met, and users must ensure that their referees use their unique user referral link/code when creating an account on the platform.
c. If you and your referees have set up a website to promote business development, in order to identify and determine appropriate opportunities, the following features and information should be included: (1) There should be a link that can guide potential users to the platform's main website; (2) The information and/or logo and/or slogan of the platform should be visible to potential users; (3) An accurate description of the platform's products should be provided to give users specific information about the financial products and services of the platform so that users can sign agreements with the platform.
d. Users must obtain approval from the platform before uploading any information or features related to the platform and its services.
e. The platform has the sole discretion to accept or reject any user referred by you and your referees, and reserves the right to terminate the business relationship with any user at any time. All data related to users opening accounts on the platform will be retained as the proprietary property of the platform, and affiliated platforms do not have the right to obtain such information through the signing of this service agreement, unless clearly stipulated in the agreement.
f. In compliance with the terms and conditions of this service agreement, you and your referees agree that all referral activities conducted for potential users to the platform must be professional, appropriate, and in accordance with applicable rules or laws.
4. Platform's Rights and Obligations
a. The platform ensures that commission fees for referrals will be promptly paid to you in accordance with the terms of this service agreement.
b. The platform is responsible for calculating and paying commissions to users.
c. In the event of any disputes or user complaints, the platform reserves the right to withhold any commissions related to the user until these issues are resolved.
d. If the platform discovers any misuse of the trading activities of any users you have referred, the platform reserves all rights, including but not limited to immediately suspending or terminating the accounts of the associated platform, at the platform's sole discretion.
5. Trading Fees
a. The platform will track and report user trading activities that are approved after opening accounts through referrals.
b. Commissions payable under this service agreement will be based on a variable percentage of the fees paid by referees. This fee can be viewed at any time on the platform's page and increases with the total trading amount of the referred account.
c. If any trading activities of referees are deemed suspicious by the platform, the platform may delay the payment of commissions until the relevant transactions are verified. If the platform determines, at its sole discretion, that the activities constitute fraudulent traffic, the platform reserves the right to terminate this service agreement and/or recalculate or withhold commissions for the associated platform accordingly.
d. Commissions will be paid in different cryptocurrencies as stated on the platform based on the referred transactions made by the referees. If the trade is made in BTC, the platform will pay the commission in BTC. If it's done in ETH, the platform will pay commissions in ETH, and so on. Payments will be credited to the user's account signed up during the user referral program. The platform reserves the right to use other payment methods at its discretion.
e. No commissions will be granted to users who do not strictly adhere to this service agreement or its incorporated guidelines (if applicable), including possible subsequent modifications and revisions. Users are solely and absolutely responsible for strictly complying with this service agreement and the guidelines contained therein at all times.
